# Terms of Use

Official Terms of Use of QMS, the quantum-resistant layer-1 blockchain.

Last Updated: 19 October 2026

**Notice of binding terms.** You are legally bound by these Terms when you visit or use the Services, including our website at qms.finance and the other software, interfaces and features described below. Please read these Terms carefully before using any part of the Services, whether you access them directly or through embedded or associated applications or wallets. If you do not understand and accept these Terms, please do not use the Services or download any materials from them.

## 1. Acceptance of these Terms

These Terms of Use ("**Terms**") are a binding agreement between you and the operator of the QMS website and Services, together with its affiliates ("**QMS**", "**we**", "**us**" or "**our**"). They govern your access to and use of qms.finance and its subdomains, the QMS testnet and any mainnet interfaces we operate, block explorers, faucets, documentation, developer tooling, miner and client interfaces, waitlist and community programmes (together, the "**Services**").

By accessing or using the Services, you agree to these Terms and to our [Privacy Policy](/privacy-policy.md). If you are using the Services on behalf of a company or other entity, you confirm that you have authority to bind it, and "you" includes that entity. If you do not agree, do not use the Services.

Separate written agreements may apply to particular activities, such as commercial client contracts, grants, token distributions or incentive programmes. If they conflict with these Terms, the specific agreement prevails for that activity.

**Technical services only.** QMS provides software, information and technical services only. QMS is not a broker, dealer, exchange, custodian, money transmitter, investment adviser or financial service provider of any kind, and has no fiduciary relationship with, or duty to, you in connection with the Services. Our Privacy Policy and any supplemental terms posted for particular features or programmes are incorporated into these Terms.

## 2. Eligibility and restricted jurisdictions

To use the Services you must be at least 18 years old (or the age of majority where you live) and have full legal capacity to enter into these Terms.

You may not use the Services if you are, or act on behalf of, a person who is:

* located in, incorporated in, or ordinarily resident in any Restricted Jurisdiction (as defined below);
* named on, or owned or controlled by anyone named on, a sanctions list maintained by the United Nations, the United States (OFAC), the European Union, the United Kingdom, the Republic of Panama or any other relevant authority; or
* otherwise prohibited by applicable law from using the Services.

"**Restricted Jurisdiction**" means any jurisdiction in which the entry into these Terms is prohibited by applicable law, and any jurisdiction which is subject to the United Nations, the United States (OFAC), the European Union, the United Kingdom or other applicable sanctions or embargoes; and any other jurisdiction designated by QMS from time to time without notice, with immediate effect and without liability.

You must not use a VPN or other tool to get around these restrictions. You are responsible for making sure your use of the Services is lawful where you are. We may use geo-blocking and screening, and may refuse or restrict access at our discretion. We decide eligibility at our sole discretion and may require you to provide information or documents to verify your eligibility, identity or source of funds, including on an ongoing basis.

You represent and warrant that you meet these requirements each time you use the Services. If your status changes, you must stop using the Services immediately. You are solely responsible for obtaining any licences or approvals your activities require, including for operating mining hardware or providing services to clients.

**Accurate information.** Any information you give us, including in waitlist, client, miner or programme applications, must be true, accurate, current and complete, and you must keep it updated. You will not access the Services through bots, scripts or other automated or non-human means except as we expressly permit. If any information you provide is untrue, inaccurate or misleading, we may suspend or terminate your access and refuse any current or future use of the Services.

## 3. The Services, testnet and the protocol

**The protocol.** The QMS Network is a Layer-1 blockchain using quantum-resistant, proof-of-useful-work consensus, in which miners solve optimisation problems submitted by clients. Once deployed, the protocol is open-source software run by independent miners and node operators. QMS does not own or control the network, cannot reverse or change transactions, and is not a party to transactions between users, miners and clients on it.

**Testnet.** The testnet is experimental and provided for testing and development only. Testnet tokens are not currency or property of any kind, have no monetary value, are not transferable outside the testnet, and are not redeemable, refundable or convertible into any fiat currency or digital asset. They may be reset, wiped or changed at any time. Participation in the testnet does not by itself entitle you to any mainnet tokens, rewards or allocations, unless we say so expressly in separate programme terms.

**Changes.** The Services and protocol are under active development. We may add, change, suspend or discontinue any part of the Services (including features, parameters and programmes) at any time, with or without notice. Nothing on the website, in the documentation or in our communications is a commitment to deliver any feature, timeline, token or mainnet launch. We are not obliged to maintain, support, update or correct the Services, and we are not liable for any loss caused by downtime, maintenance, errors or discontinuation.

**Informational resources.** Our website, documentation, litepaper, blog, social media posts, diagrams, benchmark or comparison data and other content ("**Informational Resources**") are for general information and education only. They may be incomplete, out of date or based on estimates, and may describe planned features that never launch. We are not liable for any loss arising from your reliance on them.

**Fees.** Transactions on the network may require network fees, which you are solely responsible for paying. We may introduce, change or waive fees for any Services we operate at any time.

## 4. Wallets, miners and clients

**Wallets and keys.** You are solely responsible for your wallet, private keys and seed phrases. QMS is non-custodial: we never hold your keys or assets and cannot recover lost keys or reverse transactions. Any loss caused by lost, stolen or compromised credentials is yours to bear. All transactions you submit are initiated solely by you, and you are responsible for every transaction signed with your keys. We make no representation that any Services will work with any particular wallet.

**Miners.** If you run mining hardware (GPU, QPU or otherwise) or a node, you do so at your own cost and risk. You are responsible for your hardware, energy, connectivity, software configuration and compliance with local laws, including licensing, energy and tax rules, and for any damage to, or wear on, your hardware. Block rewards and client payments are determined by the protocol and the quality of submitted solutions; QMS does not guarantee any reward, income or return.

**Clients.** If you submit problems to the network, you are responsible for the job data you submit and the fees you lock. You confirm that you have all rights needed to submit that data and that it contains no unlawful content, malware, or personal or confidential data you are not entitled to disclose (see our Privacy Policy on the public nature of on-chain data). Job data submitted to the network may be visible to miners and others, and may be recorded permanently. Solutions are produced by independent miners and returned "as is"; QMS does not guarantee their accuracy, optimality, timeliness or fitness for any purpose. Commercial client services may be subject to a separate agreement.

**Taxes.** You are responsible for determining and paying any taxes arising from your use of the Services, including on rewards, fees and token transactions.

**Independent participants.** Miners, node operators, clients, developers and other network participants act independently. They are not agents, employees, partners or representatives of QMS, and QMS is not responsible for their acts, omissions, solutions or payments. Any dispute between you and another participant is solely between you and them, and you release QMS from any claim arising from it.

**Job data and user content.** You keep ownership of job data, code, comments and other content you submit ("**User Content**"). You grant QMS a perpetual, irrevocable, worldwide, royalty-free, sublicensable, non-exclusive licence to host, copy, process, transmit, display and otherwise use your User Content (other than job data) to operate, secure, improve and promote the Services and the network. For job data, that licence is limited to hosting, copying, processing and transmitting it as needed to submit it to the network, return solutions to you, and operate and secure the Services. It ends when the job data is no longer needed for those purposes, and we will not use your job data to promote the Services. We may, but are not obliged to, monitor, refuse or remove any User Content, and we are not liable for removing or failing to remove it. You represent and warrant that your User Content does not infringe any third-party right or breach section 6, and, to the extent permitted by law, you waive any moral rights in it. Submitting User Content does not create any relationship between you and QMS beyond these Terms.

**Rewards and programmes.** Rewards, points, allocations, airdrops, grants and incentive programmes are offered at our sole discretion, may be changed, suspended or cancelled at any time, and create no entitlement until actually delivered. We may withhold, reduce or reclaim any reward we reasonably believe was obtained through a breach of these Terms, sybil activity, manipulation or error. Our decisions on eligibility for, and the amount of, any reward are final and binding.

**Restricting addresses.** We may, at our sole discretion and without notice, block or restrict wallet addresses, accounts, IP addresses or devices from using any Services we operate, including faucets, explorers, interfaces and programmes, where we reasonably believe this is needed for legal, compliance, security or integrity reasons.

## 5. Tokens, no offer, no advice and risks

**No offer.** Nothing in the Services, including the Informational Resources, statements about tokenomics, network revenue, client fees or the "For investors" section or other information contained in our website, is or should be read as an offer or solicitation to sell, buy or subscribe for any token, security or financial product, or an invitation to invest. Any future token will be a utility for using and securing the network and is not intended to represent equity, debt, profit share or any claim against QMS. It also will not confer any right or claim to the revenues, fees or assets of QMS, the network or any other person. In particular, holding a token will not entitle you to any share of fees paid by clients or of any network revenue. QMS gives no assurance that any token will be issued, listed or tradable, or will have or keep any value. Nothing in the Services is or should be read as a financial promotion or an invitation or inducement to engage in investment activity in any jurisdiction, and no token is offered, sold or distributed through the Services. Any such offer will be made only to eligible persons, through separate offering documents and written agreements, in compliance with applicable law, and only the terms of those documents will apply.

**Investor information.** The "For investors" section of our website and any other content addressed to investors are provided for general information only. They are intended solely for persons who are professional, institutional or otherwise qualified investors under the laws of the jurisdiction where they are located, and to whom that content may lawfully be communicated without any approval, registration, licence or prospectus. They are not directed at, or intended for distribution to or use by, any person in any Restricted Jurisdiction. By accessing that content you confirm that you are such a person. If you are not, you must not access or rely on it. Accessing it does not create any relationship between you and QMS or entitle you to take part in any offering.

**No advice.** Content in the Services is for general information only and is not legal, financial, investment, tax or other professional advice. Forward-looking statements (for example, about quantum computing timelines, network growth or adoption) are uncertain and may not come true. Any statements in the Services about token supply, distribution, emissions, network usage, client demand or fees are estimates, targets or illustrations only. They are subject to change without notice and are not commitments, forecasts of value or indications of any return. You should make your own enquiries and consult your own advisers.

**Risks.** You represent that you have enough knowledge and experience of blockchain technology, digital assets, wallets and cryptography to evaluate the risks of using the Services. By using the Services you acknowledge risks including:

* software bugs, vulnerabilities, forks, attacks or failures of the protocol, cryptography (including post-quantum schemes) or third-party infrastructure;
* extreme volatility, illiquidity or total loss of value of digital assets;
* irreversible transactions and loss of keys;
* regulatory change that may restrict or prohibit the Services or tokens in some jurisdictions; and
* the network failing to attract miners, clients or users, or not launching as described.

You use the Services entirely at your own risk.

**Protocol-specific risks.** Post-quantum cryptography and proof-of-useful-work are novel and largely untested at scale. Post-quantum schemes may prove weaker than expected or be broken; quantum and classical hardware may develop faster or slower than anticipated; the scoring of solutions may be imperfect or gamed; and the network may require upgrades, forks or changes to consensus that alter its economics. You assume all of these risks and are responsible for keeping informed of upgrades, forks and changes to network rules.

**No reliance.** You confirm that you have not relied on any statement, forecast or representation by QMS or its contributors, including about token value, mining profitability, client demand or quantum timelines, in deciding to use the Services.

## 6. Prohibited conduct

You agree not to:

* use the Services for money laundering, terrorist financing, sanctions evasion, fraud, market manipulation, tax evasion or any other unlawful purpose;
* submit job data or content that is unlawful, infringing, defamatory, obscene, hateful, harassing, malicious, or that contains personal data you have no right to process;
* attack, disrupt or overload the network or Services, including through denial-of-service, spam transactions, eclipse or sybil attacks, or exploiting bugs or vulnerabilities;
* attempt to gain unauthorised access to the Services or any connected systems, or circumvent any security, geo-blocking or access restriction;
* manipulate consensus, job scoring, rewards, faucets, airdrops, waitlists or incentive programmes, including by using bots, multiple identities, false information or fake accounts, mass-registering accounts or wallets, or artificially inflating your activity or engagement;
* scrape, data-mine or systematically retrieve content from the Services to build a database or directory, or decompile or reverse engineer any part of the Services we operate, except as permitted by applicable open-source licences;
* use the Services or any QMS website content to build a competing product, or to advertise or sell goods or services, without our written consent;
* harass, threaten, abuse or defame any person, including other users and QMS contributors, or collect or disclose other users' personal information;
* remove any copyright or proprietary notice from content you copy or use;
* impersonate QMS, its contributors or any other person, falsely imply an affiliation with QMS, or submit false reports of abuse; or
* help or encourage anyone else to do any of the above.

We may investigate suspected breaches, remove content, suspend access, withhold rewards, report activity to law enforcement or regulators, and take any other legal action we consider appropriate.

## 7. Intellectual property, open source and feedback

Except for open-source software, the Services and their content, including the QMS name, logos, website design, text, diagrams and documentation, are owned by or licensed to QMS. We grant you a limited, revocable, non-exclusive, non-transferable licence to use them for personal or internal business purposes in line with these Terms. You may not use the QMS name, logos or other marks without our prior written consent, register or try to register any mark confusingly similar to them, challenge our rights in them, or use them in a way that suggests our sponsorship or endorsement. All rights not expressly granted are reserved.

Protocol code and developer tooling we release under an open-source licence are governed by that licence, which prevails over these Terms for that code.

Any ideas, suggestions, bug reports or other feedback you send us ("Feedback") are non-confidential. You assign to QMS all rights, title and interest in your Feedback, and we may use and disclose it for any purpose without notice, attribution or compensation to you. If you believe in good faith that content on the Services infringes your copyright or trademark, send written notice to <legal@qms.finance>.

## 8. Third-party services

The Services may link to or work with third-party wallets, exchanges, bridges, mining pools, explorers, decentralised applications, data providers and social platforms ("**Third-Party Services**"). We do not control, verify or endorse them and make no warranty about their availability, security, accuracy or legality. Your use of Third-Party Services is at your own risk and governed by their own terms and privacy policies. QMS is not liable for any loss arising from Third-Party Services, and any dispute with a third party is solely between you and that third party.

## 9. Disclaimers, assumption of risk and release

In this section and section 10, "**QMS Parties**" means QMS, its affiliates, service providers and licensors, and each of their past, present and future directors, officers, employees, contributors, consultants, agents, successors and assigns.

**Disclaimer.** The Services, the protocol, the testnet, all Informational Resources and all solutions returned by the network are provided "as is" and "as available". To the maximum extent permitted by law, the QMS Parties disclaim all warranties and conditions, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, security, availability and error-free or uninterrupted operation, and any warranties arising from course of dealing or usage of trade. We do not warrant that the network or its cryptography will be secure against quantum or any other attacks, that any solution will be correct or optimal, or that any defect will be corrected. The QMS Parties are not responsible for any content created, posted or submitted by users or third parties, which may be inaccurate, offensive or unlawful. No advice or information obtained from the QMS Parties creates any warranty not expressly stated in these Terms.

**Assumption of risk and release.** You voluntarily assume all risks of using the Services and the protocol. To the maximum extent permitted by law, you irrevocably release the QMS Parties from, and agree not to sue any of them for, any and all claims, liabilities and damages arising from or relating to the protocol, its miners and other participants, Third-Party Services, or your use of the Services. Each QMS Party is an intended third-party beneficiary of sections 9 to 11 and may enforce them directly.

## 10. Limitation of liability and indemnity

**Exclusion of damages.** To the maximum extent permitted by law, no QMS Party will be liable for any indirect, incidental, special, exemplary, consequential or punitive damages, or for any loss of profits, revenue, business opportunity, data, goodwill, digital assets or their value, or cost of substitute services. This includes losses arising from interruption or discontinuation of the Services, bugs, exploits, attacks, forks, lost or compromised keys, corrupted wallet files, user error, phishing or other unauthorised access, server failure or data loss, inaccurate solutions, infringement by other users or other third-party conduct, however caused and under any theory of liability, even if we were advised of their possibility.

**Cap.** Our total aggregate liability for all claims will not exceed the greater of (a) the fees you paid directly to QMS for the Services in the 12 months before the claim, and (b) US$1,000.

**Basis of the bargain.** You agree that these limitations are a reasonable allocation of risk, are an essential basis of these Terms, and that we would not provide the Services without them. If you are dissatisfied with the Services, your sole and exclusive remedy is to stop using them.

**Indemnity.** You will, at your own expense, defend, indemnify and hold harmless the QMS Parties from any claims, losses, liabilities, damages, penalties, costs and expenses (including reasonable legal and expert fees) arising from or relating to: your use of the Services or Third-Party Services; your User Content, job data or mining activity; your breach of these Terms; your violation of any law, sanctions or third-party right; your negligence or wilful misconduct; or any dispute between you and another participant. We may assume exclusive control of the defence of any such claim at your expense, and you will cooperate fully with us. This obligation is in addition to any other indemnity you give us in writing and survives termination.

## 11. Governing law and dispute resolution

**Governing law.** These Terms and any dispute arising out of or relating to them or the Services, including non-contractual disputes, are governed by the laws of the Republic of Panama, without regard to conflict-of-law rules.

**Informal resolution.** Before starting any proceedings, you must notify us at <legal@qms.finance> (a "Dispute Notice") setting out your contact details, the nature and basis of the claim, the specific relief and any damages sought with how they are calculated, and a signed statement confirming its accuracy. You may not start arbitration until 60 days after we receive a complete Dispute Notice.

**Arbitration.** Any dispute not resolved informally, including about the existence, validity, scope or termination of these Terms or this arbitration agreement, will be finally resolved by confidential arbitration administered by the International Court of Arbitration of the International Chamber of Commerce (ICC) under the ICC Rules of Arbitration in force when the request for arbitration is submitted. The seat is Panama City, Republic of Panama, there will be one arbitrator, and the language will be English. The arbitrator may grant relief only in favour of the individual party seeking it and only to the extent needed for that party's individual claim. The award is final and binding and may be enforced in any court of competent jurisdiction. The parties will keep the arbitration, all evidence and the award confidential, except as needed to enforce the award or as required by law. Each party bears its own costs and legal fees unless the arbitrator decides otherwise.

**Class action and jury waiver.** To the maximum extent permitted by law, all disputes must be brought on an individual basis only, and not as a plaintiff or class member in any class, consolidated or representative proceeding. The arbitrator may not consolidate claims. If any dispute proceeds in court, each party waives any right to a jury trial.

**Exceptions.** QMS may seek injunctive or other interim relief in any court of competent jurisdiction to protect its intellectual property, the Services or the network, or to stop a breach of section 6, without posting a bond or proving actual damages. You agree that a breach of these Terms may cause QMS irreparable harm for which damages would not be an adequate remedy.

## 12. Suspension, changes and general

**Suspension and termination.** We may suspend, restrict or terminate your access to any Services we operate at any time, for any or no reason, without notice or liability, including where required by law or where we stop offering the Services. You may stop using the Services at any time. If we terminate your access, you may not create a new account or use another person's identity to regain it. Any rewards, digital assets, points or allocations, and any data, associated with an account or interface we close may not be recoverable, and we are not liable for them. Because QMS is non-custodial, this does not affect any digital assets in your own wallet, which remain under your sole control. This does not affect the decentralised protocol, which we do not control. Sections 4 to 12 and any other provisions that by their nature should survive, survive termination.

**Changes to these Terms.** We may amend these Terms at any time by posting an updated version with a new "Last updated" date. Changes take effect when posted. Your continued use of the Services afterwards means you accept them; if you do not agree, your sole remedy is to stop using the Services. No change applies to a dispute for which arbitration has already started. Notices to QMS must be sent to <legal@qms.finance>.

**General.** These Terms (with the Privacy Policy and any agreements referred to in section 1) are the entire agreement between you and QMS about the Services and supersede all prior communications. If any provision is held unenforceable, it will be modified to the minimum extent needed and the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign or transfer these Terms; we may assign them freely, including to an affiliate, successor or foundation, without notice. Nothing in these Terms creates any partnership, joint venture, agency or employment relationship. We are not liable for any delay or failure caused by events beyond our reasonable control, including network failures, attacks, regulatory action, pandemics or market disruption. You consent to receive notices electronically, including by email or posting on the website, and agree that electronic communications satisfy any legal requirement for writing or signatures. Headings are for convenience only, "including" means "including without limitation", and no rule of construction against the drafter applies. Text in bold is intended to give, and satisfies any legal requirement for, conspicuous notice. These Terms are written in English, which prevails over any translation. Except as stated in section 9, there are no third-party beneficiaries.
